1. The Client and Consultant may exchange confidential information in connection with consulting services. This Agreement ensures such information remains protected.________________________________________
2. Definition of Confidential Information“Confidential Information” includes, but is not limited to:•Business, financial, or personal data•Strategies, plans, and ideas•Client records, personal stories, or case notes•Training materials, tools, and resources created by consultant________________________________________
3. Obligations of Confidentiality Both parties agree:•To keep Confidential Information private and not disclose it to any third party without written permission.•To use Confidential Information solely for the consulting relationship.•To take reasonable steps to protect Confidential Information from unauthorized use or disclosure.________________________________________
4. ExclusionsConfidential Information does not include information that:•Was publicly known at the time of disclosure,•Becomes publicly known without breach of this Agreement,•Is lawfully obtained from another source.________________________________________
5. TermThis Agreement begins on the date above and remains in effect indefinitely, covering all Confidential Information disclosed during the consulting relationship.________________________________________
6. Return of MaterialsUpon request, each party will return or destroy all Confidential Information belonging to the other.________________________________________
7. No Transfer of This Agreement does not transfer ownership of any intellectual property or rights to either party.________________________________________
8. Governing Law Agreement shall be governed by the laws of the State of Michigan.________________________________________
